Bylaws

I. Name

The name of this organization shall be: Solano County Mayors’ Committee for the Employment of People with Disabilities.

II. Purpose

The purpose of this organization shall be to promote employment and advancement of people with disabilities. The Committee will provide employers and the greater community with information on the Americans with Disabilities Act (ADA) and benefits of employing people with disabilities.  This will be accomplished through the use of printed materials, speakers’ bureau, meetings, recognition events and other activities designed to educate and inform.

III. Principal Office

The principal office for the transaction of business for the organization is fixed and located in Solano County, California. The committee may at any time or, from time to time, change the location from one location to another within the County.

IV. Membership

Section 1 Members

The membership of this organization shall consist of representatives of businesses, agencies, organizations, or individuals within Solano County, which are interested in the employment of people with disabilities.  Members of the organization shall be persons who commit time to the organization’s activities. Membership is open to anyone with interest in promoting employment and advancement of people with disabilities.

Section 2 Voting

Voting shall be for members having attended three meetings within a governing year.  Each member of the organization shall be entitled to one vote.

Section 3  Liabilities and Property Rights of Members

No member of the organization now or hereafter shall be personally liable to its creditors for any indebtedness or liability, and any and all creditors shall look only to its assets for payment.

V.   Dues

The fiscal year shall be from July 1st through June 30th.  Determination of a dues schedule, if any, shall be at the discretion of the Committee.

VI. The Committee

Section 1 Quorum

Five members of the Committee shall constitute a quorum for the transaction of business. There shall be no proxy voting.

Section 2 Powers of the Committee

Subject to the limitation of the bylaws, and California law, all powers of the organization shall be exercised by or under the authority of and business affairs of the organization shall be controlled by, the Committee.  Without limiting the general powers, the Committee shall have the following powers.

  (a) To Select and remove all of the officers and agents of this organization,  prescribe such powers and duties for them as may be consistent with the    law and bylaws.

    • (b) To conduct, manage, and control the affairs and business of the organization, and to make rules and regulations consistent with the law and bylaws.
  • (c) To conduct both long and short term planning.
  • Section 3 Expenses

    There shall be no salaried directors or members. Expenses authorized by the Committee shall be reimbursed to members in the service of the organization from the treasury as appropriate.

    Section 4  Place of Meeting

    Regular meetings of the Committee shall be held in an accessible place, within Solano County, that has been designated from time to time by resolution of the members or by written consent of a majority of the members.  In the absence of this designation, regular meetings shall be held at the established location agreed to by the consensus of the Committee.

    Section 5 Subcommittee Meetings

    Subcommittee meetings for any purpose may be called anytime by the chairperson, or by a majority of the members. Subcommittee decisions affecting the larger body of membership must be brought to monthly meetings to be voted upon.

    Section 6 Removal

    Any member may be removed from office, for cause, by a vote of a majority of the other members.

    Section 7 Organization and Election of Officers

    The organizational officers of the Committee shall be a Chairperson, Vice Chairperson, Recording Secretary, and Treasurer. The Committee shall nominate a slate of officers in November, each to be elected by the committee members at the December meeting for a term of one year and each many succeed her/him in office.  The duties of each office shall be as follows:

    • (a)   Chairperson

     Subject the control of a majority of the committee, the Chairperson shall have general supervision, direction, and control of business and affairs of the organization. He/She shall establish appropriate subcommittees, make appointments thereto, and shall preside at all meetings of the committee and the January meeting of the organization covered by the Article VI and shall have such powers and duties as may be prescribed by the committee.

    • (b) Vice Chairperson

      In the absence of the Chairperson, the Vice Chairperson shall perform all the duties of the Chairperson and in so acting shall have all the power of the Chairperson.  This Vice Chairperson shall have such other power and perform other duties as may be prescribed from time to time by the committee.

    • (c) Treasurer

      The Treasurer shall receive and safely keep all funds of the organization and deposit them in the bank or banks that may be designated by the committee.  Those funds shall be paid only on checks of the organization signed by the Chairperson, Vice Chairperson and Treasurer, or by such officers as designated by the Committee as authorized to sign them.  The Treasurer shall have such other powers and perform such other duties as may be prescribed from time to time by the committee.

    Section 8 Conflict of Interest

  • A committee member may enter into a financial agreement or self dealing transaction with the organization provided that:
        • (a)   The organization enters into such an agreement or transaction only when the transaction is clearly of benefit to the organization (e.g., the lowest of three bids)
        • (b)   The Committee must vote on and approve the transaction, which is to be verified by the committee minutes.
        • (c) The interested committee member(s) with whom the transaction is made is to abstain from the discussion and vote related to the transaction

    VII. General Membership Meetings

    Section 1 Monthly Meeting

    There shall be at least one monthly general membership meeting.

    The agenda for such meeting will focus on specific issues related to the employment of people with disabilities. Other meetings to be held as necessary.

    Section 2 December Meeting

    On the same date the Committee holds its December meeting the committee shall conduct a general meeting for all members. The agenda for such meeting shall include but not necessarily be limited to (i) a general report regarding the past year and such specific reports from sub-committees as are considered appropriate and (ii) a state of the committee report regarding plans for the forthcoming year and such specific reports from sub-committees as are considered appropriate and (iii) a question and answer period.

    IX. Amendments

    These bylaws may be amended at any meeting of the Committee by a three-fourths (3/4) vote of members present.

    X. Dissolution

    Upon dissolution of this organization, none of its assets shall incur to any individual, but after paying and adequately providing for the debts of the organization, the remaining assets shall be distributed to a non-profit fund, foundation or corporation which is organized an operated exclusively for charitable purposes consistent with the goals of the Solano County Mayors Committee for Employment of People with Disabilities, and which has established it tax exempt status under 501 (c)(3) of the Internal Revenue Code and whose property is dedicated to the exempt purposes as specified in Section 214 of the Revenue and taxation Code of the Sate of California.
